منصة مزادات شركة ذيب لتأجير السيارات الإلكترونية للمركبات

إشعار هام: يُرجى قراءة هذه الوثيقة بعناية تامة. إن استخدامك للمنصة و/أو تقديمك أي عرض في أي مزاد يُعدّ قبولاً صريحاً وغير مشروط لجميع الشروط والأحكام الواردة في هذه الوثيقة. تُمثّل هذه الوثيقة الاتفاقية الكاملة والنهائية بين المنصة والمستخدم فيما يتعلق بموضوعها.

أولاً: التعريفات

في هذه الوثيقة، يُقصد بالمصطلحات التالية المعاني المبيّنة قرين كل منها:

"المنصة": [مبيعات شركة ذيب لتأجير السيارات]، منصة إلكترونية مرخصة عبر الإنترنت.
"المشتري": المستخدم الذي يتقدم بعرض شراء على مركبة مدرجة في المزاد.
"البائع": المستخدم أو الجهة التي تُدرج مركبة للبيع عبر المنصة.
"البضائع": المركبات و/أو أي عناصر أخرى مدرجة للبيع على المنصة.
"العرض الفائز": أعلى عرض مقبول من البائع عند انتهاء المزاد.
"الأموال المحصّلة": مبلغ الشراء المعتمد الذي يُدفع ويُستلم فعلياً في الحساب البنكي المحدد للبائع.
"العقد": الاتفاق المُلزم الناشئ عن قبول أي عرض وفق أحكام هذه الوثيقة.
"تاريخ النفاذ": تاريخ سداد سعر الشراء المعتمد كاملاً.
"العربون/التأمين": المبلغ المالي المبدئي الذي قد تطلبه المنصة من المشتري ضماناً للمشاركة الجادة في المزاد.
"الموقع الإلكتروني": أدخل الرابط الرسمي للمنصة.

ثانياً: نطاق عمل المنصة ومسؤوليتها

تعمل المنصة بوصفها وسيلة بيع وربط بين البائع والمشتري، وتوفر البيئة الرقمية اللازمة.
تخضع هذه الشروط والأحكام وتُفسَّر وفقاً لأحكام [النظام السعودي وتُحال أي نزاعات ناشئة عنها إلى الجهة القضائية المختصة.

ثالثاً: التسجيل والتحقق من الهوية

1. متطلبات التسجيل

يتعيّن على المستخدم استيفاء المتطلبات التالية عند التسجيل:

للأفراد:

الهوية الوطنية أو الإقامة سارية المفعول
رخصة القيادة
العنوان الوطني
رقم الجوال الخاص في ابشر

للشركات والمنشآت:

السجل التجاري ساري المفعول
شهادة تسجيل ضريبة القيمة المضافة
العنوان الوطني
تفويض الشراء عند الاقتضاء

2. إقرارات المستخدم عند التسجيل

بتسجيله في المنصة، يُقرّ المستخدم ويضمن ما يلي:

أن جميع المعلومات والبيانات المقدمة صحيحة ودقيقة.
أنه بلغ من العمر ثمانية عشر (18) عاماً على الأقل.
أن لديه الأهلية القانونية الكاملة لإبرام العقود.
أن لديه القدرة المالية على الوفاء بالتزاماته عند الفوز بأي مزاد.
أنه لن يشارك في أي صورة من صور التلاعب بالمزايدات أو التواطؤ.
أنه لن يتواصل مع البائعين أو المشترين خارج المنصة بهدف إتمام الصفقة أو تجاوزها.
التزامه بجميع الأنظمة والقوانين ذات الصلة، بما فيها نظام مكافحة الجرائم المعلوماتية.
موافقته على تلقّي الإشعارات والاتصالات التسويقية من المنصة.

3. صلاحيات المنصة

يحق للمنصة في أي وقت ودون إبداء أسباب:

رفض طلب التسجيل أو إلغاؤه.
تعليق الحسابات غير المكتملة أو التي تتضمن بيانات غير صحيحة.
طلب مستندات إضافية للتحقق من هوية المستخدم.

رابعاً: قواعد المزاد والالية

1. إدراج المركبات

تُدرج المركبات في المزاد قبل أربع وعشرين (24) ساعة على الأقلمن موعد بدء المزاد.
تُطبَّق ضريبة القيمة المضافة وفق الأنظمة الضريبية المعمول بها في المملكة العربية السعودية وهي بنسبة 15%.

2. آلية المزايدة

جميع المزايدات إلكترونية حصراً ولا يُقبل أي شكل بديل.
تُعدّ كل مزايدة عرضاً نهائياً ملزماً غير قابل للسحب.
يحق للبائع رفض أي عرض يقل عن السعر الاحتياطي المحدد.
يُبلَّغ المشتري بقرار القبول أو الرفض خلال يوم عمل واحد.
تحتفظ المنصة بالحق في سحب المركبة من المزاد في أي وقت قبل إتمام الصفقة.

3. إشعارات الفوز

يُبلَّغ صاحب أعلى مزايدة بنتيجة المزاد عبر البريد الإلكتروني والرسائل النصية والواتساب /أو الاتصال الهاتفي. ولا تُنشئ الإشعارات الصادرة نتيجة خطأ تقني أو خلل في الموقع أي التزام على المنصة.

خامساً: الدفع والتسليم

1. إجراءات الدفع

تُصدر الفاتورة بعد سداد قيمة السيارة / السيارات من تاريخ السداد.
يتعيّن على المشتري سداد المبلغ كاملاً خلال (يومين عمل)
يتم السداد عبر التحويل البنكي حصراً، أو عبر وسائل الدفع الأخرى التي تُقرّها المنصة.
تسري ضريبة القيمة المضافة على جميع المعاملات حسب التشريع المعمول به في المملكة العربية السعودية.
يجب أن تتم جميع المدفوعات دون أي خصم أو رسوم مصرفية من جانب المشتري.

2. التأخر في السداد وعواقبه

يترتب على التأخر في السداد خلال المدة المحددة ما يلي:

تعليق حساب المشتري فوراً.
مصادرة مبلغ العربون كاملاً.

3. استلام المركبة ونقل الملكية

يتعيّن على المشتري استلام المركبة خلال يومَي عمل من تاريخ تأكيد الدفع.
يتحمل المشتري مسؤولية إتمام إجراءات نقل الملكية خلال سبعة (7) أيام عمل من تاريخ الاستلام.

سادساً: الوديعة/التأمين

يحق للمنصة، وفق تقديرها المطلق، اشتراط دفع عربون تأمين قابلللاسترداد كشرط للمشاركة في المزادات عبر المنصةوقيمته5000 ريال سعودي.
يسدد العربون عبر القنوات المخصصة في المنصة.
يتيح العربون للمشتري المزايدة دون سقف في المزادات المتاحة، مع التنبيه بضرورة المزايدة ضمن الإمكانيات المالية الفعلية.
يكون العربون قابل للاسترداد في أي وقت بناءً على طلب المشتري عبر المنصة على أن تُعالَج خلال (30) يوم، شريطة ألا تكون ثمة التزامات مالية قائمة.

سابعاً: مسؤوليات الأطراف وضماناتهم

1. ضمانات البائع

يضمن البائع ما يلي:

أنه المالك الشرعي للمركبة.
خلوّ المركبة من أي رهون أو مطالبات قانونية أو مالية.
صحة ودقة جميع المعلومات المُدرجة على المنصة قدر المستطاع.
إتاحة المركبة للمعاينة الفعلية قبل البدء في المزاد.
أن تكون المركبة عند التسليم في الحالة ذاتها التي كانت عليها وقت الإدراجً.

2. ضمانات المشتري

يضمن المشتري ما يلي:

أنه اطلع على وصف المركبة، وأن لديه فرصة معاينتها على الواقع، وأنه راضٍ بحالتها.
قدرته المالية الكاملة على الوفاء بالتزامات الدفع.
عدم مشاركته في أي صورة من صور التلاعب أو التواطؤ ويتحمل جميع المسائل القانونية.

3. مسؤولية المشتري عن الفحص

تُباع جميع المركبات بحالتها الراهنة "كما هي". ويقع على المشتري وحده مسؤولية الفحص الفعلي قبل المزايدة، ولا يحق له الرجوع للمنصة بسبب أي عيوب ظاهرة أو خفية بعد إتمام الصفقة.

ثامناً: حدود المسؤولية والتعويض

لا يحق للمشتري مطالبة المنصة بأي تعويض عن أي خسائر أو أضرار ناجمة عن عيوب المركبة أو قصور وصفها أو عدم ملاءمتها للاستخدام.
في حال ثبتت مسؤولية المنصة بحكم قضائي، يقتصر التعويض على سعر شراء المركبة كحد أقصى.
يُعوِّض المستخدم المنصة عن أي خسائر أو نفقات تتكبدها نتيجة إساءة استخدامه للمنصة أو إهماله أو انتهاكه لهذه الشروط.
لا تتحمل المنصة أي مسؤولية عن الأضرار غير المباشرة أو التبعية من أي نوع.
يتنازل المستخدم عن حقه في المطالبة ضد المنصة فيما يتعلق بأي خسائر ناجمة عن الاستخدام غير المصرح به لبيانات حسابه.
يتعهد مستخدم المنصة بعدم مشاركة حسابه على المنصة لاي شخص اخر

تاسعاً: المخالفات والجزاءات

تشمل المخالفات الموجبة للجزاء على سبيل المثال لا الحصر:

التلاعب بالمزايدات أو التواطؤ.
التخلف عن السداد ضمن المدة المحددة.
التسجيل بهوية مزيفة أو تقديم بيانات غير صحيحة.
التواصل مع الأطراف خارج المنصة بهدف تجاوزها.

تحتفظ المنصة بحق اتخاذ الإجراءات التالية بحسب جسامة المخالفة:

تعليق الحساب أو إلغاؤه نهائياً.
مصادرة العربون كلياً أو جزئياً.
إحالة المخالفات الجسيمة إلى الجهات القانونية المختصة.

عاشرا: حماية البيانات والخصوصية

تُحفظ بيانات المستخدمين وتُعالَج وفق أنظمة حماية البيانات المعمول بها في المملكة العربية السعودية.
تلتزم المنصة بالامتثال لأي طلب قانوني رسمي للحصول على المعلومات.
يوافق المستخدم على تلقّي الاتصالات التسويقية عبر البريد الإلكتروني والواتساب والرسائل النصية.

حادي عشر: التعديل والإنهاء

يحق للمنصة تعديل هذه الشروط والأحكام في أي وقت دون إشعار مسبق، ويُعدّ استمرار المستخدم في استخدام المنصة قبولاً ضمنياً للتعديلات.
يقع على عاتق المستخدم مسؤولية الاطلاع الدوري على الشروط المحدثة.
يحق للمستخدم إغلاق حسابه متى شاء، شريطة خلوّه من أي التزامات مالية أو قانونية قائمة.
لا يجوز للمستخدم التنازل عن حقوقه أو التزاماته الناشئة عن هذه الاتفاقية لأي طرف آخر دون موافقة مسبقة من المنصة.

ثاني عشر: فضّ النزاعات

تُحلّ النزاعات بصورة تدريجية: الحل الودي أولاً، ثم التحكيم، ثم اللجوء إلى المحاكم المختصة حسب التشريع المعمول به في المملكة العربية السعودية.
تخضع هذه الاتفاقية وتُفسَّر وفق [نظام المملكة العربية السعودية].
النسخة العربية هي المعتمدة قانونياً في جميع الأحوال، وأي ترجمة إلى لغات أخرى هي للاسترشاد فقط.

Theeb Electronic Vehicle Auction Platform – Theeb Car Rental Company

Important Notice: Please read this document carefully. Your use of the platform and/or submission of any bid in any auction constitutes your explicit and unconditional acceptance of all the terms and conditions set forth herein. This document represents the complete and final agreement between the Platform and the User regarding its subject matter.

1. Definitions

In this document, the following terms shall have the meanings assigned to them:

“Platform”: Theeb Car Rental Sales, a licensed online electronic platform.
“Buyer”: The user submitting a purchase bid for a vehicle listed in the auction.
“Seller”: The user or entity listing a vehicle for sale through the platform.
“Goods”: Vehicles and/or any other items listed for sale on the platform.
“Winning Bid”: The highest bid accepted by the Seller at the conclusion of the auction.
“Collected Funds”: The approved purchase amount that is actually paid and received into the Seller’s designated bank account.
“Contract”: The binding agreement arising from acceptance of any bid according to the provisions of this document.
“Effective Date”: The date on which the approved purchase price is fully paid.
“Deposit/Security”: The initial financial amount the platform may request from the Buyer as a guarantee for serious participation in the auction.
“Website”: www.auction.theebonline.com

2. Scope of Platform Operations and Liability

The platform operates as a means to facilitate the sale and connection between Sellers and Buyers, providing the necessary digital environment.
These Terms and Conditions are governed by and interpreted in accordance with [Saudi law], and any disputes arising shall be referred to the competent judicial authority.

3. Registration and Identity Verification

3.1 Registration Requirements

For individuals:

Valid national ID or residence permit
Driver’s license
National address
Mobile number registered in Absher

For companies and establishments:

Valid commercial registration
VAT registration certificate
National address
Purchase authorization, if applicable

3.2 User Declarations Upon Registration

By registering on the platform, the User acknowledges and guarantees:

All provided information is true and accurate.
The User is at least eighteen (18) years old.
Full legal capacity to enter into contracts.
Financial ability to fulfill obligations if winning any auction.
No participation in any form of bid manipulation or collusion.
No contact with Sellers or Buyers outside the platform to bypass or complete transactions.
Compliance with all relevant laws and regulations, including the Anti-Cybercrime Law.
Consent to receive notifications and marketing communications from the platform.

3.3 Platform Authority

The platform may, at its sole discretion and without justification:

Reject or cancel any registration request.
Suspend accounts that are incomplete or contain inaccurate data.
Request additional documents to verify the User’s identity.

4. Auction Rules and Mechanism

4.1 Vehicle Listing

Vehicles must be listed at least twenty-four (24) hours before the auction starts.
VAT at 15% shall apply according to the laws of the Kingdom of Saudi Arabia.

4.2 Bidding Mechanism

All bids are exclusively electronic; no alternative forms are accepted.
Every bid is a final, binding, and non-retractable offer.
The Seller may reject any bid below the specified reserve price.
The Buyer shall be notified of acceptance or rejection within one business day.
The platform reserves the right to withdraw any vehicle from the auction at any time before completion of the sale.

4.3 Winning Notifications

The highest bidder will be notified of the auction result via email, SMS, WhatsApp, and/or phone call. Notifications resulting from technical errors or website malfunctions shall not impose any liability on the platform.

5. Payment and Delivery

5.1 Payment Procedures

The invoice will be issued upon payment of the vehicle(s).
The Buyer must pay the full amount within two (2) business days.
Payments shall be made exclusively via bank transfer or other methods approved by the platform.
VAT applies to all transactions under the legislation of the Kingdom of Saudi Arabia.
All payments must be made without any deductions or bank fees by the Buyer.

5.2 Late Payment and Consequences

Late payment within the specified period will result in:

Immediate suspension of the Buyer’s account.
Full forfeiture of the deposit.

5.3 Vehicle Handover and Ownership Transfer

The Buyer must collect the vehicle within two (2) business days of payment confirmation.
The Buyer is responsible for completing the ownership transfer within seven (7) business days from the date of receipt.

6. Deposit/Security

The platform may, at its absolute discretion, require a refundable security deposit of SAR 5,000 as a condition for participating in auctions.
The deposit shall be paid through the designated channels on the platform.
The deposit enables the Buyer to bid without limit on available auctions, provided bids are within actual financial capabilities.
The deposit is refundable at any time upon the Buyer’s request via the platform, to be processed within thirty (30) days, provided there are no outstanding financial obligations.

7. Responsibilities and Warranties

7.1 Seller Warranties

The Seller guarantees that:

They are the legal owner of the vehicle.
The vehicle is free from any liens, claims, or legal/financial obligations.
All information listed on the platform is accurate to the best of their ability.
The vehicle is available for physical inspection prior to the auction.
The vehicle will be delivered in the same condition as at listing.

7.2 Buyer Warranties

The Buyer guarantees that:

They have reviewed the vehicle description, had the opportunity to inspect it, and are satisfied with its condition.
They have full financial capability to fulfill payment obligations.
They will not engage in bid manipulation or collusion and will bear all legal consequences.

7.3 Buyer Responsibility for Inspection

All vehicles are sold “as-is.” The Buyer bears sole responsibility for inspection before bidding and may not hold the platform liable for any visible or hidden defects after the sale.

8. Limitation of Liability and Indemnification

The Buyer may not claim compensation from the platform for losses or damages arising from vehicle defects, misrepresentation, or unsuitability.
If platform liability is established by a court, compensation is limited to the purchase price of the vehicle.
The User shall indemnify the platform for any losses or expenses incurred due to misuse, negligence, or violation of these Terms.
The platform shall not be liable for indirect or consequential damages of any kind.
The User waives the right to claim against the platform for losses resulting from unauthorized use of their account data.
Users shall not share their platform account with any other person.

9. Violations and Penalties

Violations subject to penalties include, but are not limited to:

Bid manipulation or collusion.
Failure to pay within the specified period.
Registration with a fake ID or false information.
Contacting parties outside the platform to bypass it.

The platform reserves the right to:

Suspend or permanently cancel accounts.
Forfeit the deposit, in whole or in part.
Refer serious violations to the competent legal authorities.

10. Data Protection and Privacy

User data shall be stored and processed in accordance with Saudi data protection laws.
The platform shall comply with any official legal request for information.
Users consent to receive marketing communications via email, WhatsApp, and SMS.

11. Amendments and Termination

The platform may amend these Terms at any time without prior notice; continued use constitutes implicit acceptance of the changes.
Users are responsible for reviewing updated terms periodically.
Users may close their accounts at any time, provided there are no outstanding financial or legal obligations.
Users may not assign their rights or obligations under this agreement without prior platform consent.

12. Dispute Resolution

Disputes shall be resolved gradually: amicable settlement first, then arbitration, followed by referral to competent courts in accordance with Saudi law.
This agreement is governed by and interpreted in accordance with Saudi law.
The Arabic version is legally binding in all circumstances; translations into other languages are for reference only.
